I blame tennis, with their tie breaks. They started it because they had to. Matches were going on for hours – one Wimbledon match lasted over 11 hours. Now they have the 5th set 10 point tie break. I’ve seen a of constitutions which say what can and can’t be done without board or shareholder approval. However if the conditions are breached it’s either an HR matter (eg sack the exec) or breach of contract dispute between say a shareholder and the directors.
